Terms of Service

The agreement between Ubouk and the organizations and people who use it.

1. This agreement

These Terms are a binding agreement between [Company Legal Name](“Ubouk”, “we”) and you — whether you are a sports organization using the platform (a “Customer”) or an individual with an account. By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you accept on behalf of an organization, you confirm you are authorized to bind it.

2. The service

Ubouk is a multi-tenant platform for sports organizations to publish programs, run branded registration portals, collect registrations and payments, communicate with families, and manage participants and staff. We may update, add, or remove features, and we provide the service on an “as is” basis as described in section 9.

3. Accounts and eligibility

  • You must provide accurate information and keep it up to date.
  • You must be at least 18 to create an account. A parent or guardian registers and manages information for any minor.
  • You are responsible for keeping your credentials secure and for activity under your account.

4. Customer (organization) responsibilities

If you use Ubouk to collect information from your registrants, you are responsible for that information. In particular, you:

  • Are the party responsible (the controller) for the personal information you collect, including children’s information;
  • Must have a lawful basis and obtain all required consents — including parental consent for minors — and provide your registrants with your own privacy notice;
  • Must comply with applicable laws, including Québec’s Law 25 and Canada’s PIPEDA;
  • Appoint Ubouk as your service provider to process that information on your behalf, in accordance with our Privacy Policy and any data processing terms;
  • Set and honour your own pricing, taxes, refund, and cancellation policies.

5. Acceptable use

You agree not to:

  • Use the service unlawfully, or to upload content you do not have the right to use;
  • Infringe intellectual-property or privacy rights, or upload another person’s data without authority;
  • Attempt to breach security, access other organizations’ data, or disrupt the service;
  • Misuse messaging features to send unlawful or unsolicited communications.

6. Payments and fees

  • Payments from families are processed through Stripe Connect. The organization is the merchant of record for its own registrations and store sales.
  • Ubouk does not charge a per-transaction fee. The only fee is the subscription stated in your plan. Fees are exclusive of taxes unless stated.
  • The organization is responsible for fulfilling registrations and orders, for refunds and cancellations under its own policies, and for chargebacks and disputes.
  • The organization is responsible for charging and remitting any applicable sales taxes (e.g. GST/QST).

7. Intellectual property

Ubouk and its software, design, and trademarks remain our property. You keep ownership of the content and data you provide, and you grant us a limited license to host, process, and display it solely to provide the service to you.

8. Privacy and data protection

Our handling of personal information is governed by our Privacy Policy, and — for Customers — by any data processing terms we provide, which are incorporated into this agreement by reference.

9. Disclaimers

The service is provided “as is” and “as available”, without warranties of any kind to the extent permitted by law. We do not warrant that the service will be uninterrupted or error-free.

10. Limitation of liability

To the extent permitted by applicable law, Ubouk is not liable for indirect, incidental, or consequential damages, and our total liability arising out of the service is limited to the amounts you paid us in the [12] months before the event giving rise to the claim. [Some limitations may not apply under Québec consumer-protection law — confirm with counsel.]

11. Indemnification

You agree to indemnify Ubouk against claims arising from your content, your registrants’ data, your use of the service, or your breach of these Terms or of applicable law.

12. Term and termination

Either party may terminate as set out in your plan or for breach. On termination, you may export your data for [30] days, after which it may be deleted in the ordinary course. Sections that by their nature should survive (e.g. payments owed, IP, disclaimers, liability, governing law) survive termination.

13. Changes to these Terms

We may update these Terms. If changes are material, we will take reasonable steps to notify you. Continued use after changes take effect means you accept them.

14. Governing law and language

These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable there, and the courts of the judicial district of [District], Québec have jurisdiction.
